1. Definitions

Before diving into the details, let's clarify what we mean by certain terms in this agreement:

• "AjaxAI", "we", "our", or "us" refers to AjaxAI, Inc., the company providing the Services.
• "Services" refers to AjaxAI's batch prediction API service for Google's Gemini AI models, including our management interface, API, job scheduling system, and related features.
• "Gemini AI" refers to Google's large language model that our Services help you interact with for batch processing.
• "Batch Prediction" refers to the process of submitting multiple inputs to Gemini AI for processing in a single operation.
• "User", "you", or "your" refers to any individual or entity that accesses or uses our Services.
• "Terms" refers to these Terms of Service, which constitute a legally binding agreement between you and AjaxAI.
• "Account" refers to your registered account with AjaxAI that allows you to access and use the Services.
• "Your Data" refers to the content, prompts, inputs, and configurations you submit to our Services for batch processing through Gemini AI.

2. Acceptance of Terms

By accessing or using AjaxAI's batch prediction API service, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this service.

These Terms apply to all visitors, users, and others who access or use the Services. By accessing or using any part of the Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, then you may not access the Services.

3. Service License and Restrictions

Subject to your compliance with these Terms, AjaxAI grants you a limited, non-exclusive, non-transferable, and revocable license to access and use our Gemini AI batch prediction Services for your personal or business purposes in accordance with these Terms.

Our Services allow you to:

• Submit batch prediction requests to Google's Gemini AI models
• Manage and monitor batch processing jobs
• Configure prediction parameters and settings
• Access and download prediction results
• Utilize temporary storage for input and output data

This license is subject to the following restrictions:

• You may not license, sell, rent, lease, transfer, assign, distribute, or commercially exploit the Services or any part thereof without prior written consent from AjaxAI.
• You may not modify, create derivative works, decompile, reverse engineer, disassemble, or attempt to derive the source code of the Services or any related technology that is not open source.
• You may not access the Services to build a similar or competitive batch prediction management service.
• You may not use the Services to process data or perform operations that violate Google's terms for Gemini AI usage.
• You may not copy, reproduce, distribute, republish, download, display, post, or transmit any part of the Services except as expressly permitted by these Terms.
• You may not use the Services in any way that could damage, disable, overburden, or impair the Services or interfere with any other party's use of the Services.
• You may not use any robots, spiders, or other automated means to access the Services for any purpose without our express written permission.

4. User Accounts

To access certain features of the Services, you may be required to register for an account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

You agree to:

• Provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
• Keep your password secure and confidential, and immediately notify AjaxAI of any unauthorized use of your account or any other breach of security.
• Accept responsibility for all activities that occur under your account and accept the risks of unauthorized access.
• Not create more than one account per user or create an account for anyone other than yourself without permission.

AjaxAI reserves the right to disable any user account at any time in its sole discretion for any or no reason, including if, in AjaxAI's opinion, you have violated any provision of these Terms.

5. Data Rights and Usage

When you use our Services, you may submit data to AjaxAI for processing through Gemini AI batch prediction ("Your Data"). You retain all right, title, and interest in and to Your Data. By submitting Your Data to AjaxAI, you grant AjaxAI a non-exclusive, worldwide, royalty-free license to access, use, process, copy, distribute, perform, export, and display Your Data, only as reasonably necessary:

• To provide and maintain the batch prediction Services;
• To transmit Your Data to Gemini AI for processing;
• To manage temporary storage of inputs and outputs;
• To comply with legal obligations;
• To enforce our Terms; and
• As otherwise permitted with your consent.

AjaxAI will never use Your Data to train AI models, sell your information to third parties, or for any purpose unrelated to providing the Gemini AI batch prediction Services. Your Data will be processed in accordance with our Privacy Policy.

You understand and acknowledge that AjaxAI serves as an intermediary service that facilitates batch processing through Google's Gemini AI models. Your usage of our Services is also subject to Google's terms of service for Gemini AI, and you represent that your use of Gemini AI through our platform complies with Google's applicable terms and policies.

6. Security and Data Protection

AjaxAI takes the security of your data seriously and will implement reasonable and appropriate measures designed to help you secure Your Data against accidental or unlawful loss, access, or disclosure. We implement multiple layers of protection as detailed in our Privacy Policy, including encryption for sensitive data and strict access controls.

As a service that facilitates batch processing with Google's Gemini AI, we maintain certain technical protections specific to our service:

• Job Isolation: Each batch prediction job is processed in an isolated environment to prevent data leakage between users
• Temporary Storage: Input data and prediction results are stored only for the minimum time necessary to complete your batch jobs
• Automatic Cleanup: We automatically purge temporary files and in-memory data according to our data retention policy
• Access Logging: We maintain detailed logs of all system accesses for security auditing purposes
• Encrypted Transmission: All data is encrypted during transmission between our service and Google's Gemini AI

You acknowledge that:

• The internet is not a completely secure environment;
• We cannot guarantee the security of information transmitted to or from the Services;
• We are not responsible for the circumvention of any privacy settings or security measures contained in the Services; and
• You have an important role in protecting Your Data, including maintaining the confidentiality of your account credentials.

7. Payments and Billing

AjaxAI charges based on usage of our batch prediction services for Gemini AI. All fees are stated in U.S. dollars and do not include taxes, which are your responsibility.

Our pricing is structured around the following components:

• API Calls: The number of batch prediction requests processed
• Token Usage: The volume of tokens processed through the Gemini AI model
• Storage Usage: Temporary storage used during batch processing
• Compute Resources: Computational resources allocated to your prediction jobs

When you provide payment information to AjaxAI or our third-party payment processor, you represent that you are the authorized user of the card or payment method, and you authorize us to charge your payment method for your usage of our Services including any taxes and other charges.

We bill based on your actual usage of the Service. You will only be charged for the specific resources and operations you use. We provide real-time usage metrics and cost estimation tools in your dashboard to help you monitor your spending.

If the payment method you provide expires and you do not update your payment information, you authorize us to continue billing you and you remain responsible for any uncollected amounts. We reserve the right to suspend service if payment cannot be processed.

8. Intellectual Property Rights

The Services and all content, features, and functionality thereof, including but not limited to all information, software, text, graphics, logos, images, and the design, selection, and arrangement thereof, are owned by AjaxAI, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Nothing in these Terms grants you any right, title, or interest in or to any intellectual property rights in the Services or any content provided by AjaxAI, except for the limited license expressly set forth in Section 3. AjaxAI reserves all rights not expressly granted to you.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall AjaxAI, its affiliates, directors, employees, agents, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, that result from the use of, or inability to use, the Services.

Under no circumstances will AjaxAI be responsible for any damage, loss, or injury resulting from hacking, tampering, or other unauthorized access or use of the Services or your account or the information contained therein.

To the maximum extent permitted by applicable law, AjaxAI assumes no liability or responsibility for any:

• Errors, mistakes, or inaccuracies of content;
• Personal injury or property damage, of any nature whatsoever, resulting from your access to or use of the Services;
• Any unauthorized access to or use of our servers and/or any personal information stored therein;
• Any interruption or cessation of transmission to or from the Services;
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Services by any third party;
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Services; and/or
• The defamatory, offensive, or illegal conduct of any third party.

10. Indemnification

You agree to defend, indemnify, and hold harmless AjaxAI, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Services;
• Your violation of any term of these Terms;
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right; or
• Any claim that Your Data caused damage to a third party.

This defense and indemnification obligation will survive these Terms and your use of the Services.

11. Term and Termination

These Terms shall remain in full force and effect while you use the Services. AjaxAI may terminate or suspend your account and access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of these Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or request account deletion through your account settings.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Changes to Terms

AjaxAI reserves the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
